CORPERSHUB TERMS OF SERVICE
USER AGREEMENT

IMPORTANT NOTICE
PLEASE READ THESE TERMS OF SERVICE CAREFULLY BEFORE ACCESSING OR USING THE CORPERSHUB PLATFORM.
THESE TERMS OF SERVICE CONSTITUTE A LEGALLY BINDING AGREEMENT BETWEEN YOU AND STRATVISTA LIMITED (OWNERS OF CORPERSHUB).
BY REGISTERING AN ACCOUNT, ACCESSING, BROWSING, USING, OR OTHERWISE INTERACTING WITH THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, ACCEPTED, AND AGREED TO BE BOUND BY THESE TERMS.
IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST IMMEDIATELY DISCONTINUE USE OF THE PLATFORM.
1. PARTIES
This Agreement is entered into between:
CorpersHub Technologies Limited
a company duly incorporated under the laws of the Federal Republic of Nigeria, together with its successors, assigns, subsidiaries, affiliates, directors, officers, employees, contractors, agents, and representatives (hereinafter referred to as "CorpersHub", "Platform", "Company", "We", "Us", or "Our"),
AND
Any individual, business entity, organization, institution, government agency, non-governmental organization, educational institution, partnership, sole proprietorship, or other person who accesses or uses the Platform (hereinafter referred to as "User", "You", or "Your").
2. DEFINITIONS
For purposes of this Agreement:
"Platform"
Means the CorpersHub website, mobile application, software, APIs, databases, communication systems, matching systems, and all related services.
"Corps Member"
Means a serving member of the National Youth Service Corps (NYSC) registered on the Platform.
"Business"
Means a company, employer, institution, organization, government agency, NGO, or any entity registered on the Platform.
"Opportunity"
Means any placement, engagement, internship, volunteer role, PPA opportunity, project opportunity, training opportunity, employment-related opportunity, or any other engagement advertised on the Platform.
"Match Score"
Means any compatibility score, ranking, recommendation, or matching output generated by CorpersHub's proprietary systems.
"Content"
Means all text, information, documents, images, videos, records, messages, profiles, data, and materials submitted to or displayed on the Platform.
"Services"
Means all functionalities and services provided by CorpersHub.
3. NATURE OF THE PLATFORM
3.1 Platform Status
CorpersHub is solely a technology-enabled marketplace and networking platform designed to facilitate visibility, discovery, introductions, communication, and connections between Corps Members and Businesses.
3.2 No Recruitment Services
CorpersHub is NOT:
- A recruitment agency;
- An employment agency;
- A labour contractor;
- A staffing company;
- A placement agency;
- An outsourcing company;
- An employer of Corps Members;
- An NYSC posting authority.
3.3 No Employment Relationship
Use of the Platform does not create:
- Employment relationships;
- Agency relationships;
- Joint ventures;
- Partnerships;
- Fiduciary relationships;
between CorpersHub and any User.
3.4 Independent Decision Making
All decisions regarding:
- Applications;
- Interviews;
- Engagements;
- Acceptance;
- Rejection;
- Placements;
- PPAs;
- Internships;
- Employment;
are made independently by Users and not by CorpersHub.
4. ELIGIBILITY
To use the Platform, You represent and warrant that:
a. You are at least eighteen (18) years old;
b. You possess legal capacity to enter binding agreements;
c. You are not prohibited by law from using the Services;
d. Information supplied by You is accurate and complete;
e. Your use of the Platform shall comply with applicable laws.
Businesses further represent that they are duly registered and authorized to conduct business activities under applicable law.
5. ACCOUNT REGISTRATION
5.1 Registration Requirements
Users may be required to provide:
- Full name;
- Email address;
- Phone number;
- Identification information;
- NYSC information;
- Business registration details;
- Other information reasonably requested.
5.2 Accuracy of Information
You warrant that all information submitted is:
- Accurate;
- Current;
- Complete;
- Not misleading.
5.3 Continuing Obligation
You shall promptly update information whenever changes occur.
5.4 One Account Rule
Users may not create multiple accounts for deceptive purposes.
6. ACCOUNT SECURITY
You shall:
- Maintain confidentiality of credentials;
- Use strong passwords;
- Notify CorpersHub of unauthorized access;
- Be responsible for activities occurring under your account.
CorpersHub shall not be liable for losses arising from compromised credentials caused by User negligence.
7. USER OBLIGATIONS
All Users shall:
Act Honestly
Provide truthful information.
Act Lawfully
Comply with all applicable laws and regulations.
Act Professionally
Conduct themselves respectfully and professionally.
Respect Others
Avoid harassment, abuse, intimidation, discrimination, or misconduct.
Maintain Data Confidentiality
Use personal information only for legitimate purposes.
8. CORPS MEMBER OBLIGATIONS
Corps Members additionally agree to:
a. Provide accurate NYSC information;
b. Maintain truthful profiles;
c. Upload authentic credentials only;
d. Comply with NYSC regulations;
e. Conduct themselves professionally when interacting with Businesses;
f. Refrain from misrepresenting qualifications.
Submission of forged, altered, or fraudulent documentation constitutes a material breach of this Agreement.
9. BUSINESS OBLIGATIONS
Businesses additionally agree to:
a. Provide accurate organizational information;
b. Post lawful opportunities only;
c. Refrain from misleading advertisements;
d. Respect candidate privacy;
e. Comply with applicable laws;
f. Maintain professional interactions.
Businesses shall not use Corps Member data for unauthorized marketing or unrelated commercial activities.
10. MATCHING SYSTEM
10.1 Platform Technology
CorpersHub may utilize algorithms, artificial intelligence systems, scoring methodologies, filters, rankings, or other automated systems.
10.2 No Guarantee
Match Scores are provided solely for informational purposes.
CorpersHub does not warrant:
- Accuracy;
- Suitability;
- Compatibility;
- Success rates;
- Placement outcomes.
10.3 Platform Discretion
CorpersHub may modify matching methodologies at any time without notice.
11. PROHIBITED ACTIVITIES
Users shall not:
- Provide false information;
- Upload forged documents;
- Impersonate persons or organizations;
- Commit fraud;
- Circumvent security systems;
- Introduce malware;
- Reverse engineer the Platform;
- Interfere with operations;
- Harvest user data;
- Use automated scraping tools;
- Violate intellectual property rights;
- Harass other users;
- Solicit unlawful payments.
Violation may result in immediate suspension or termination.
12. USER CONTENT
Users retain ownership of content submitted by them.
By submitting content, Users grant CorpersHub a worldwide, non-exclusive, royalty-free, transferable license to:
- Store;
- Display;
- Process;
- Reproduce;
- Analyze;
- Distribute;
such content for purposes related to Platform operation.
Users warrant that they possess all necessary rights to submitted content.
13. INTELLECTUAL PROPERTY
All rights, title, and interest in:
- Platform software;
- Algorithms;
- Trademarks;
- Logos;
- Databases;
- Designs;
- Source code;
- Trade secrets;
remain the exclusive property of CorpersHub.
No ownership rights are transferred to Users.
14. FEES AND PAID SERVICES
Certain Platform services may be subject to fees.
Applicable pricing shall be displayed on the Platform.
CorpersHub reserves the right to modify pricing at any time.
Unless otherwise stated:
- Fees are non-refundable;
- Taxes are payable by Users;
- Failure to pay may result in suspension.
15. THIRD-PARTY SERVICES
The Platform may integrate third-party services including:
- Payment processors;
- Verification providers;
- Analytics providers;
- Cloud hosting providers.
CorpersHub is not responsible for third-party services.
Use of such services may be governed by separate agreements.
16. PRIVACY
Collection and processing of personal information shall be governed by the CorpersHub Privacy Policy.
By using the Platform, You consent to data processing described therein.
17. DISCLAIMERS
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CorpersHub DISCLAIMS ALL WARRANTIES INCLUDING:
- MERCHANTABILITY;
- FITNESS FOR PURPOSE;
- NON-INFRINGEMENT;
- RELIABILITY;
- ACCURACY;
- AVAILABILITY.
CorpersHub DOES NOT GUARANTEE:
- PPA placement;
- Employment opportunities;
- User engagement;
- Successful matches;
- Business outcomes.
18. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CorpersHub SHALL NOT BE LIABLE FOR:
- LOST PROFITS;
- LOST OPPORTUNITIES;
- LOST DATA;
- BUSINESS INTERRUPTION;
- REPUTATIONAL DAMAGE;
- INDIRECT DAMAGES;
- INCIDENTAL DAMAGES;
- CONSEQUENTIAL DAMAGES.
IN NO EVENT SHALL CorpersHub'S TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID TO CorpersHub BY THE USER DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
19. INDEMNITY
Users agree to defend, indemnify, and hold harmless CorpersHub from any claims, liabilities, losses, damages, fines, penalties, costs, and expenses arising from:
- Breach of this Agreement;
- User misconduct;
- Fraudulent activity;
- Violation of law;
- Infringement of third-party rights.
20. SUSPENSION AND TERMINATION
CorpersHub may suspend, restrict, or terminate accounts where:
- Policies are violated;
- Fraud is suspected;
- Security risks arise;
- Legal compliance requires action.
Termination shall not affect accrued rights and liabilities.
21. FORCE MAJEURE
CorpersHub shall not be liable for delays or failures caused by:
- Natural disasters;
- Internet outages;
- Power failures;
- Government actions;
- Civil unrest;
- Pandemics;
- Cyberattacks;
- Events beyond reasonable control.
22. DISPUTE RESOLUTION
Parties shall first attempt good-faith negotiations.
Where negotiations fail, disputes shall proceed to mediation.
Where mediation fails, disputes shall be resolved through arbitration in accordance with the Arbitration and Mediation Act 2023.
Seat of Arbitration: Lagos State, Nigeria.
Language: English.
The arbitral award shall be final and binding.
23. GOVERNING LAW
This Agreement shall be governed and interpreted in accordance with the laws of the Federal Republic of Nigeria.
Nigerian courts shall have jurisdiction for matters requiring judicial intervention or enforcement.
24. SEVERABILITY
If any provision is held invalid or unenforceable, remaining provisions shall continue in full force and effect.
25. ENTIRE AGREEMENT
This Agreement, together with:
- Privacy Policy;
- Acceptable Use Policy;
- Cookies Policy;
- PPA Placement Disclaimer & Liability Waiver;
- Verification Consent Agreement (where applicable);
constitutes the entire agreement between the parties.
26. ELECTRONIC ACCEPTANCE
By clicking "I Agree", creating an account, accessing, or using the Platform, You:
- Confirm that You have read and understood this Agreement;
- Agree to be legally bound by it;
- Consent to electronic records and signatures;
- Agree that electronic acceptance constitutes a valid and enforceable signature under applicable Nigerian law.
USER ACKNOWLEDGEMENT
I acknowledge that:
- I have carefully read these Terms of Service;
- I understand these Terms of Service;
- I voluntarily accept these Terms of Service;
- I agree to be legally bound by these Terms of Service.
